When you talk about over optimization, the first thing that comes to mind would be how much optimization techniques you use on your site, whether it's on-page, or off-page. Google's Matt Cutts from the anti-spam team are encouraging the webmasters to focus on creating quality content for the visitors and not just for the search engine crawlers to see. If you're going to force the search engines to see you by putting all of those keywords around your site even when it's not needed, what would the people think when they pass by your site?

First thing I would like to clear here that over optimization is wrong word, when you ask about penalty. Check this link http://searchengineland.com/google-launches-update-targeting-webspam-in-search-results-119295
Just focus on basic SEO techniques like proper on page optimization and off page optimization. Don't use duplicate content, use different anchor text while link building and you would see good result.

Primarily it warns indulgence in keyword stuffing, link spamming & linking the same anchor text to multiple sources

The fight to top search engines' results knows no limits neither ethical, nor technical. There are often reports of sites that have been temporarily or permanently excluded from Google and the other search engines because of malpractice and using “black hat” SEO optimization techniques. The reaction of search engines is easy to understand with so many tricks and cheats that SEO experts include in their arsenal, the relevancy of returned results is seriously compromised to the point where search engines start to deliver completely irrelevant and manipulated search results. And even if search engines do not discover your scams right away, your competitors might report you.
