What is the difference between link building and link exchange ..?

Well according to me when some one put a link in others site in order to get a link from that site it is called link building process & When two sites agreed to exchange the links with each other it is called link exchange.

Link Building:It is the process of getting the relevant and quality back links form the reputed sites.Lot of strategies are available for doing link building like article submission,forum posting and blog commenting are the best.
Link Exchange: It is the process of exchanging their website's link for getting up in the ranking.I think it is banned after the Google Penguin update.
